Extrinsic Music Group (EMG) - Distribution Licensing/Corporate (LTOS)
These Corporate Terms outline the guidelines and responsibilities for companies using Extrinsic Music Group's distribution services. By agreeing to these terms, companies ensure compliance with EMG's distribution policies and copyright regulations.

- Introduction
This Terms of Service (TOS) governs the use of Extrinsic Music Group’s (EMG) distribution services by any company, including but not limited to record labels, distributors, or service providers (the “Company”). By using EMG’s services, the Company agrees to the following terms.
- Exclusive Distribution License
EMG holds the exclusive rights to distribute the Company’s music (the "Tracks") through digital service providers (DSPs), including platforms such as Spotify, Apple Music, Amazon Music, and others.
The Company grants EMG a worldwide, 1-year exclusive distribution license for the Tracks. The license is renewable upon mutual agreement at the end of the term.
- Company Responsibilities
Track Submission: The Company is responsible for providing EMG with all necessary materials for distribution, including audio files, metadata, and artwork.
Artist Management: The Company is solely responsible for managing its artists, including setting royalty rates, handling promotions, and managing any other artist-related obligations. EMG will not be involved in the management, promotion, or branding of the artist.
Compliance with Guidelines: All tracks provided for distribution must comply with EMG’s distribution guidelines and DSP standards.
- Compensation and Fees
Revenue Split: EMG will collect 100% of the revenue generated from DSPs and distribute it directly to the Company on a quarterly basis via PayPal.
Service Fee: The Company agrees to pay EMG 30% of total revenue generated from the distributed tracks. This fee is deducted from the Company’s share and does not affect the artist’s royalties.
- Artist Rights and Ownership
Artist Ownership: Artists retain 100% ownership of their music. EMG and the Company hold no ownership rights over the tracks.
Royalty Payments: The Company is responsible for distributing royalties to the artists according to their own internal agreements. EMG will not manage or intervene in the royalty payment process between the Company and its artists.
- Termination
Immediate Termination: EMG reserves the right to immediately terminate the service if there is a breach of any of these terms or if the Company or its artists violate EMG’s distribution guidelines or DSP regulations.
Artist Termination: If an artist under the Company violates any rules, the Company must take immediate action, including potential termination of the artist from the platform without providing a second chance.
- Renewal
This Agreement is for a term of one (1) year. At the end of the term, both EMG and the Company may mutually agree to renew the license for an additional term. If the license is not renewed, all distribution rights will revert to the Company.
- Distribution Guidelines
The Company and its artists must follow EMG’s distribution guidelines, which cover content standards, acceptable audio quality, metadata requirements, and artwork specifications.
Failure to comply with these guidelines may result in the rejection or removal of tracks from DSPs and/or termination of this Agreement.
- Dispute Resolution
Any disputes arising from this Agreement will be resolved through direct negotiation between the Company and EMG. If a resolution cannot be reached, the matter may be escalated to arbitration or legal action as agreed upon by both parties.
- Limitation of Liability
EMG is solely responsible for the distribution of tracks and assumes no liability for any disputes between the Company and its artists, or for any financial obligations the Company has to its artists.
EMG will not be responsible for any damages, losses, or legal claims resulting from the distribution of the Company’s tracks beyond the scope of this Agreement.
Conclusion
By using EMG’s services, the Company agrees to comply with this TOS in full. Failure to do so may result in immediate termination of the Company’s access to EMG’s distribution platform.
